Welcome to Gennext Dimensions Inc. ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, web application, and related services (collectively, the "Service"). Eligibility and Accounts 1.1 Eligibility You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding contract. 1.2 Account Registration To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must promptly update your account information if it changes. 1.3 Account Security You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account if we suspect any unauthorized activity, violation of these Terms, or misuse of the Service. 2. Scope of Service 2.1 Description of Service Our Service provides tools to help users create, edit, analyze, and export resumes and related professional documents, including AI-assisted content generation and ATS-related insights. The Service may also include blog content, educational materials, and other resources. 2.2 No Guarantee of Employment We do not guarantee that use of the Service will result in job offers, interviews, or any specific employment outcomes. All hiring decisions are made by third parties over whom we have no control. 2.3 Global Availability The Service is accessible globally but may not be appropriate, legal, or available for use in all jurisdictions. You are responsible for ensuring that your use of the Service complies with local laws where you reside or access the Service. 3. User Responsibilities 3.1 Your Content You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free, perpetual license to host, process, and display your User Content solely for the purpose of operating, improving, and providing the Service. You further grant us the right to use your User Content—including manual corrections you make to AI-extracted data—to train our artificial intelligence models and to create anonymized, aggregated datasets ('Market Benchmarks'). You acknowledge and agree that the Company is the exclusive owner of these Market Benchmarks and may use, publish, sell, or license them to third parties or the public for any business purpose, provided such data cannot reasonably identify you or your specific employer. 3.2 Accuracy of Information You are solely responsible for the accuracy, completeness, and legality of the information you provide. You must not submit any false, misleading, or fraudulent information in your resume or other documents created through the Service. 3.3 Prohibited Conduct You agree not to: Use the Service for any unlawful, infringing, defamatory, fraudulent, or harmful purpose. Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems. Reverse engineer, decompile, or attempt to extract source code from the Service, except where explicitly allowed by law. Use bots, scrapers, or other automated means to access or interact with the Service without our prior written consent. Upload or transmit malware, viruses, or other harmful code. You represent that any data you enter regarding third parties (e.g., recruiters, agencies) is for your personal organization only. You agree not to use the Service to harass, stalk, or publicly defame any individual. Intentionally upload fake, inaccurate, or misleading contracts or financial data for the purpose of manipulating the platform's Market Benchmarks. Scrape, harvest, copy, or systematically extract data from our Market Benchmarks, Salary Averages, or APIs for use in a competing product or for commercial purposes without our explicit written consent. 4. AI-Generated Content and Limitations 4.1 Parts of the Service use artificial intelligence to generate content, including resume drafting support and automated customer service responses. You are responsible for verifying all outputs. If you interact with our automated support agents, you acknowledge that AI-generated responses are provided for convenience, do not supersede these Terms, and do not constitute binding financial, legal, tax, or employment advice. 4.2 The Service includes features ('Pay Analysis', 'Fair Pay Score', 'Blended Rate Calculator', 'Stipend Audit') that provide estimates of market pay rates, tax-free stipends, and contract value. These features rely on aggregated, anonymized user data and third-party public sources (e.g., GSA.gov, HUD.gov). Calculations, including estimated tax deductions and blended rates, are mathematical approximations provided for convenience. These outputs do not constitute financial, legal, tax, or employment advice. 4.3 We do not guarantee the accuracy, completeness, or timeliness of any pay data, GSA rates, market averages, or AI-generated negotiation scripts presented. Market rates for travel nursing fluctuate rapidly. You acknowledge that relying on these tools to accept or reject an employment contract, or using AI-generated scripts to negotiate with recruiters or agencies, is done solely at your own risk. The Company is not liable for any lost wages, missed opportunities, rescinded job offers, workplace disputes, or financial losses resulting from your reliance on the Service. 4.4 Professional Advice You should consult with a qualified tax professional or financial advisor regarding the specific tax implications of your travel stipends and pay packages. 5. Payments, Subscriptions, and Refunds 5.1 Pricing and Plans Certain features of the Service may be offered on a paid basis. Prices, available plans, and feature limits are displayed within the Service. We reserve the right to conduct A/B testing and utilize algorithmic optimization to dynamically adjust feature access limits (including the number of free analyses or queries provided), promotional offerings, and subscription configurations. Your access to free or promotional features may vary from other users and is subject to change at any time without prior notice. 5.2 Billing and Payment By initiating a purchase, you authorize us and our payment processors to charge the applicable fees to your selected payment method. You must provide accurate and complete billing information and update it if it changes. 5.3 Subscriptions and Renewals (if applicable) If the Service includes subscription plans, they may auto-renew at the end of each billing cycle unless you cancel before renewal. You can manage or cancel subscriptions through your account or as described in the Service. Promotional periods (e.g., 'Free Months' earned via referrals) defer your next billing date but do not cancel your underlying subscription. Auto-renewal will resume at the full standard rate once the promotional period ends. 5.4 Refund Policy Unless otherwise stated, all fees are non-refundable, except where required by applicable law. We may, at our sole discretion, offer refunds or credits in certain situations; such decisions do not obligate us to provide the same in the future. 5.5 Taxes You are responsible for any taxes, duties, or similar charges associated with your purchase, excluding taxes based on our net income, where applicable. 6. Referral Program 6.1 Program Eligibility The Company may offer a referral program ("Referral Program") allowing users ("Referrers") to earn promotional credits or subscription extensions ("Rewards") by inviting new users ("Referees") to the Service. To qualify, a Referee must: (i) be a new user who has never created an account; (ii) create a valid account using the Referrer's unique link; and (iii) complete a "Qualifying Action" (e.g., uploading a valid document) as defined by the specific campaign terms. 6.2 Nature of Rewards Rewards are purely promotional, have no cash value, and cannot be transferred, sold, or exchanged for currency. Rewards apply solely to the extension of the Referrer's access to the Service. If a Referrer cancels their account, all accrued Rewards are immediately forfeited. 6.3 Prohibited Activities (Anti-Fraud) You agree not to abuse the Referral Program. Prohibited activities include, but are not limited to: Self-referrals (creating multiple accounts to earn Rewards); Posting referral links on commercial coupon sites or using paid advertising; Spamming or sending unsolicited invites to individuals you do not personally know; Using automated scripts, bots, or "click farms" to generate invites. 6.4 Right to Revoke and Modify We reserve the right to review and investigate all referral activities. We may, at our sole discretion, suspend accounts, revoke Rewards, or block users from the Referral Program if we suspect fraudulent or abusive activity. We reserve the right to modify, pause, or terminate the Referral Program at any time without prior notice. 7. Intellectual Property 7.1 Our Rights The Service, including all software, design, text, graphics, logos, trademarks, and other materials (excluding User Content), is owned by or licensed to us and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms. 7.2 Restrictions You must not: Copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service, except as explicitly permitted. Use our trademarks, logos, or branding without prior written permission. 7.3 Feedback If you provide feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without obligation to you. 8. Privacy and Data Protection 8.1 Privacy Policy Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy. 8.2 Data Storage and Transfer Our Service may be hosted and processed in various countries. By using the Service, you consent to the transfer and processing of your information outside your country of residence, subject to applicable data protection laws. 9. We are not responsible for the content, policies, or practices of any third-party websites. 10. Disclaimer of Warranties 10.1 "As Is" Basis The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied. 10.2 No Warranties To the fullest extent permitted by law, we expressly disclaim all warranties, including but not limited to: Implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Any warranty that the Service will be uninterrupted, secure, error-free, or free from harmful components. Any warranty regarding the accuracy, reliability, completeness, or timeliness of content or outputs, including AI-generated content. Expiration alerts and 'Triage' warnings are provided as a convenience only. You are solely responsible for tracking your own credential expirations. We do not guarantee the delivery of notification emails or push alerts and are not liable for any loss of employment or disciplinary action resulting from expired credentials. 10.3 Compliance and Notification Disclaimer: The Service may provide alerts or notifications regarding the expiration of your licenses, certifications, or medical records ("Compliance Alerts"). These alerts are provided as a courtesy only. You are solely responsible for tracking the expiration dates of your own credentials. We do not warrant that alerts will be delivered, received, or read. We are not liable for any loss of employment, shift cancellations, or disciplinary actions resulting from your failure to renew a credential, regardless of whether the Service sent an alert. 11. Limitation of Liability 11.1 Exclusion of Certain Damages To the fullest extent permitted by law, we and our officers, directors, employees, affiliates, and licensors will not be liable for any: Indirect, incidental, special, consequential, or punitive damages. Loss of profits, revenue, data, or goodwill. Business interruption or failure to obtain employment or contracts. 11.2 Maximum Liability To the extent permitted by law, our total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of: The amount you paid to us for the Service in the 3 months preceding the event giving rise to the claim; or USD $100 (or equivalent in your local currency). 11.3 Jurisdictional Limitations Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law. 12. Indemnification You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: Your access to or use of the Service; Your User Content; Your violation of these Terms; or Your violation of any law or third-party rights. 13. Suspension and Termination 13.1 Our Rights We may, in our sole discretion, suspend or terminate your account or access to the Service at any time, with or without notice, if: You violate these Terms or any applicable law; We suspect fraudulent or abusive activity; We discontinue the Service, in whole or in part. You violate these Terms or any applicable law; We suspect fraudulent or abusive activity; We discontinue the Service, in whole or in part; Our automated anomaly detection systems flag your account or uploads for highly unusual behavioral patterns, irregular interaction velocity, or suspected data manipulation. In such cases, your uploads may be quarantined and your account access temporarily suspended pending manual review by our team. 13.2 Your Rights You may stop using the Service and close your account at any time by following the instructions provided within the Service (if available) or by contacting us. 13.3 Effect of Termination Upon termination, your right to use the Service will cease immediately. We may retain certain information as required or permitted by law and as described in our Privacy Policy. Provisions of these Terms which by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will continue to apply. 14. Changes to the Service and Terms 14.1 Changes to the Service We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you. 14.2 Changes to These Terms We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and may provide additional notice as required by law. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service. 15. Global Use and Compliance 15.1 International Users The Service may be accessed from countries around the world. We make no representation that the Service is appropriate or available for use in all locations. You are responsible for compliance with local laws, including data protection, employment, and professional regulations. 15.2 Export Controls You agree not to use or export the Service in violation of any applicable export or sanctions laws. 16. Governing Law and Dispute Resolution 16.1 Governing Law Unless otherwise required by mandatory local law, these Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of laws principles. 16.2 Informal Resolution Before initiating any formal dispute, you agree to first contact us and attempt to resolve the issue informally. 16.3 Forum and Jurisdiction Subject to any mandatory local consumer protection rules, you agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Kitchener, Ontario, Canada, and you consent to the personal jurisdiction of such courts. 16.4 Class Action Waiver (where permitted) To the fullest extent permitted by law, you and the Company agree that any claims may only be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative action. 17. Miscellaneous 17.1 Entire Agreement These Terms, together with any policies referenced herein (such as the Privacy Policy), constitute the entire agreement between you and us regarding the Service. 17.2 Severability If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. 17.3 No Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. 17.4 Assignment You may not assign or transfer these Terms or your rights and obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. 17.5 Language These Terms may be provided in multiple languages. The English version will prevail to the extent of any inconsistency, unless local law requires otherwise. 18.
